Job Description

Purpose of the Role:The Company Secretary (Co-Sec) is a key officer of AirAsia and serves as an advisor to the Board. This role ensures that the company remains compliant with legal requirements and provides essential support in corporate governance.

Key Accountabilities:

  • Ensure ongoing compliance with legislation outlined in the Companies Act 2016.

  • Act as the official liaison for communication with Suruhanjaya Syarikat Malaysia (SSM) and manage the preparation and submission of statutory returns.

  • Guarantee all company documents align with both business requirements and legal obligations.

  • Monitor and proactively address changes in laws and regulations, adapting company practices accordingly.

  • Ensure any change in the company’s statutory information is completed and lodged with the registrar within the required time frame.

  • Advise the Board of Directors on key dates for holding the company’s annual general meetings (AGM) and any other shareholder meetings (EGM).

  • Prepare Board and Members' Resolutions, attend meetings, and provide guidance on company secretarial matters. Prepare minutes of meetings within a stipulated timeline.

  • Serve as a communication link between shareholders and the company, ensuring important announcements are relayed efficiently.

  • Manage the timely submission of the company’s annual return and full accounts within statutory deadlines.

  • Collaborate with both internal and external stakeholders from diverse cultural backgrounds.

  • Operate independently but collaboratively in a virtual team environment, providing cross-support and guidance as needed.

  • Support day-to-day challenges across the entire AirAsia value chain and all business segments.

  • Assist with the establishment of new entities as directed by the reporting manager.

  • Supports various business functions within AirAsia, contributing to the overall success of the organization.

  • Potential to support the creation of new corporate entities upon agreement with the direct reporting manager.

Experience and Qualifications:

  • Professional qualification with a strong academic background.

  • A minimum of 8 years of post-qualification experience in a medium to large international corporation.

  • Fluent in written and spoken English.

  • Strong ability to understand business drivers and needs.

  • Proven ability to develop and sustain relationships with clients at all levels and across different cultures.
