JOB PURPOSE1. Ensure compliance with relevant laws for Affin Hwang Investment Bank (the Bank) and the Affin group of companies, in its documents, both financial and otherwise.

2.Provide legal advisory and review of loan/facility documents on investment banking / commercial agreements including procurement (IT & non-IT).

3. Assist the Head of Group Legal/ Head, Legal AHIB with the tasks outlined below.

KEY RESPONSIBILITIES

Documentation and Advisory

  • Advice/ review / draft documents for:

Investment Banking; Stockbroking; Future Broking; Private Equity Procurement (IT and non-IT); Various related companies, divisions and departments.

  • Draft / review letters on an ad-hoc basis.
  • Standardize documents for existing and new products.
  • Ensure legal compliance of standard documents/templates.
  • Negotiate favorable legal terms with service providers.
  • Review and provide legal input on new and renewal product papers / agreements / campaigns / arrangements submitted by BUs.
  • Provide legal advice to all BUs across the Bank and the Affin group of companies.
  • Research and provide updates on current legal issues and new/amended laws.
  • Liaise with and obtain advice from external solicitors when necessary.
  • Offer legal advisory on risk, credit, and operational issues as well as advising on proper legal documentation.

Compliance

  • Ensure documents comply with PDPA, Competition Act, FSA, IFSA, Companies Act, Capital Markets and Services Act and any other laws by recommending applicable clauses.
  • Ensure outsourcing agreements adhere to the relevant policies by the Regulators (BNM, SC and Bursa Malaysia).
  • Attend to relevant processes and reporting within the Bank and the Affin group of companies on compliance and risk management for Group Legal.

Court Orders and Solicitors Management

  • Manage receipt of injunctions, winding-up, bankruptcy, garnishees, litigation and any other court orders with branches and provide relevant advice.
  • Draft/review letters to be issued to relevant parties.
  • Manage end-to-end process for empanelment, review, removal, suspension.
  • Address general queries on empanelment/assignment of work.

SKILLS AND REQUIREMENTS

Qualifications and Experience:

  • Degree in law from a recognized university
  • Minimum 10 to 15 years in providing legal advice to an investment bank or stockbroking company, either as an in-house counsel or a practicing lawyer in a law firm or both.

Skills and Knowledge:

  • Strong research and analytical skills
  • Familiar with the legal requirements in relation to the financial services and capital markets industry.
  • Effective Communication Skills;
  • Commercially oriented, dynamic, and quick to grasp new issues;
  • Ability to interact with all levels of staff and management with good interpersonal and relationship building skills to build strong relationships with stakeholders across all levels, including with relevant external parties.
  • Able to work independently with minimal supervision.
